Software License & Hosting Agreement

This document serves as the official public reference version of the PyGen MSF Software License & Hosting Agreement. It defines the terms and policies under which all web applications developed and managed by PyGen MSF are deployed and maintained.

1. Introduction

This agreement outlines the standard licensing and hosting conditions for PyGen MSF software. Each licensed deployment of a PyGen MSF application operates under this Managed SaaS License Model.

2. License Grant

PyGen MSF grants its clients a non-exclusive, non-transferable, lifetime license to use one customized deployment of a PyGen MSF web application. The application is designed, deployed, and managed entirely by PyGen MSF.

Custom deployment including name, logo, and institute identity.
One-time setup and configuration managed by PyGen MSF.
Free hosting and management for the first three (3) months after deployment.
Continued managed hosting and technical support under monthly maintenance fees.
Secure data handling via cloud infrastructure (Supabase / Google Sheets or equivalent).
Access to routine updates and feature rollouts.

3. Intellectual Property & Ownership

All intellectual property rights, including source code, design, visual assets, and system architecture, remain the exclusive property of PyGen MSF and PyGen & Co. Clients receive user rights only.

Permitted:

Operate the deployed application for internal institutional or educational use.
Display institute name and logo within their version.
Access managed hosting and updates provided by PyGen MSF.

Not Permitted:

Copy, modify, resell, or redistribute the software or its components.
Host or run the system outside PyGen MSF-managed servers without authorization.
Reverse engineer or replicate system functionality.

4. Hosting, Renewals & Maintenance

All deployments are hosted within PyGen MSF’s managed VPS and cloud infrastructure.
The first three (3) months of hosting are provided at no additional cost.
Subsequent maintenance and hosting are charged monthly as per the client’s plan.
Non-payment may result in temporary suspension until renewal is complete.
PyGen MSF handles server updates, monitoring, and uptime reliability.

5. Security & Data Handling

PyGen MSF follows best-practice standards for security, encryption, and uptime reliability. Data is stored within the assigned cloud environment or Google Sheets (or equivalent) as the chosen database.

Important: If clients use their own Google Sheets or third-party accounts, all data management, storage, and quota responsibilities remain theirs. PyGen MSF will not create, maintain, or manage backups in such cases.

6. Proof of License & Verification

Each licensed application under PyGen MSF is assigned a unique License ID (e.g., MSF-APP-2025-0001). License validity and authenticity may be verified at: https://msf.pygen.in/license-verify.

7. Term & Termination

This license remains valid indefinitely, provided all hosting and maintenance payments are made on time. PyGen MSF may suspend or terminate hosting for non-payment, breach of terms, or unauthorized redistribution.

8. Limitation of Liability

PyGen MSF shall not be held liable for indirect or consequential damages resulting from software use, downtime, or third-party disruptions. Service reliability is maintained under best-effort standards.

9. Confidentiality

Both parties agree to maintain confidentiality of shared credentials, data, and communications. PyGen MSF will not disclose client information without consent, except where legally required.

10. Governing Law

This agreement is governed by the laws of India, and all disputes shall be subject to Indian jurisdiction.
